Terms of use for the utilisation of the CovivioToShare online customer portal

§1 Object of utilisation

  1. Aco­pio Faci­li­ty GmbH & Co. KG, pro­vi­der data see § 13 (her­ein­af­ter refer­red to as "Aco­pio") pro­vi­des its cus­to­mers with an online cus­to­mer por­tal free of char­ge at the address www.coviviotoshare.de available. Covi­vio­ToSha­re is an Aco­pio pro­duct in which Aco­pio pro­vi­des indi­vi­du­al rooms within a self-con­tai­ned flat, inclu­ding the asso­cia­ted com­mu­nal are­as, for use in return for pay­ment after a ren­tal agree­ment has been con­cluded. Cus­to­mers are natu­ral and legal per­sons who have regis­tered with the online cus­to­mer por­tal as pro­s­pec­ti­ve ten­ants (her­ein­af­ter refer­red to as "pro­s­pec­ti­ve ten­ants") and exis­ting ten­ants who have alre­a­dy con­cluded a ten­an­cy agree­ment with Aco­pio for the Covi­vio­ToSha­re pro­duct (her­ein­af­ter refer­red to as "exis­ting tenants").
  2. Pro­s­pec­ti­ve ten­ants can find out about Covi­vio­ToSha­re room offers via the online cus­to­mer por­tal and cont­act Aco­pio if they are inte­res­ted in ren­ting a room.
  3. Exis­ting ten­ants also have the opti­on of hand­ling sel­ec­ted ten­an­cy agree­ment mat­ters online via Covi­vio­ToSha­re as the mana­ger of the respec­ti­ve ren­tal pro­per­ty. In par­ti­cu­lar, this also includes the opti­on of report­ing dama­ge, orde­ring repair ser­vices, making other enqui­ries about the ten­an­cy and reques­t­ing forms, whe­re offered.
  4. Aco­pio reser­ves the right to rede­fi­ne the scope of use of the online cus­to­mer por­tal at its reasonable dis­cre­ti­on, in par­ti­cu­lar to rest­rict or extend it. Fre­quent­ly reques­ted forms and docu­ments can also be made available for down­load as PDF documents.

§ 2 Inclusion of the terms of use; registration

  1. To use the online cus­to­mer por­tal, the cus­to­mer must regis­ter once ("Covi­vio­ToSha­re user account"). The Covi­vio­ToSha­re user account and the asso­cia­ted aut­ho­ri­sa­ti­ons are only valid for the cus­to­mer and are not trans­fera­ble to third par­ties. Only one Covi­vio­ToSha­re user account is per­mit­ted per customer.
  2. By regis­tering, the cus­to­mer agrees to the­se terms of use and con­firms that they have been able to take note of the pri­va­cy poli­cy on the pro­ces­sing of data for the use of the online cus­to­mer por­tal. The sta­tu­to­ry pro­vi­si­ons app­ly to the inclu­si­on of the terms of use.
  3. When regis­tering and using the online cus­to­mer por­tal and when adding fur­ther data and con­tent to the pro­fi­le and when cont­ac­ting Aco­pio, it is the customer's respon­si­bi­li­ty not to inf­rin­ge any third-par­ty rights (e.g. sta­tu­to­ry pro­per­ty rights or per­so­nal rights). Aco­pio is under no obli­ga­ti­on to the cus­to­mer to review the con­tent uploa­ded or modi­fied by the customer.
  4. Aco­pio uses the so-cal­led dou­ble opt-in pro­ce­du­re for regis­tra­ti­on, i.e. the customer's regis­tra­ti­on is only com­ple­ted when the cus­to­mer con­firms his regis­tra­ti­on via a con­fir­ma­ti­on e-mail sent to him for this pur­po­se by means of a link con­tai­ned therein.
  5. The user account is secu­red by a pass­word cho­sen by the cus­to­mer. The fol­lo­wing pro­vi­si­ons and fea­tures must be obser­ved when set­ting up the password:

The pass­word must

  • a. con­sist of at least 8 characters,
  • b. con­tain upper and lower case let­ters and
  • c. con­tain at least 1 number.
  • d. Con­ta­ins a spe­cial character.

§ 3 Rights, data backup

  1. Aco­pio makes the online cus­to­mer por­tal available to the user exclu­si­ve­ly for the customer's own, non-com­mer­cial pur­po­ses. Aco­pio grants the cus­to­mer a simp­le, non-exclu­si­ve right of use that is not trans­fera­ble to third par­ties and aut­ho­ri­ses the user to use the online cus­to­mer por­tal to the ext­ent that this cor­re­sponds to the pur­po­se pur­sued by Aco­pio in pro­vi­ding and making available the online cus­to­mer por­tal. If the cus­to­mer is inac­ti­ve for more than 12 months wit­hout being an exis­ting ten­ant, Aco­pio reser­ves the right to dele­te the Covi­vio­ToSha­re user account.
  2. The online cus­to­mer por­tal pro­vi­ded by Aco­pio may only be used in unmo­di­fied form. In par­ti­cu­lar, the cus­to­mer is pro­hi­bi­ted from modi­fy­ing, rever­se engi­nee­ring, decom­pres­sing or con­ver­ting the pro­gram­me code of the online cus­to­mer por­tal or parts the­reof, or deter­mi­ning the source code in any other way, as well as crea­ting deri­va­ti­ve works of the online cus­to­mer portal.
  3. The cus­to­mer is not per­mit­ted to sell, rent or other­wi­se trans­fer the online cus­to­mer por­tal to third par­ties. Infor­ma­ti­on, brand names and other con­tents of the online cus­to­mer por­tal may not be chan­ged, copied, repro­du­ced, sold, ren­ted, used or other­wi­se uti­li­sed in any other way wit­hout the pri­or writ­ten con­sent of Acopio.
  4. Apart from the rights of use express­ly gran­ted in the­se Terms of Use, the Cus­to­mer is not gran­ted any fur­ther rights of any kind, in par­ti­cu­lar to Acopio's com­pa­ny name and indus­tri­al pro­per­ty rights, nor is Aco­pio under any obli­ga­ti­on to grant such rights.
  5. Inso­far as the cus­to­mer uploads texts or pho­tos within the scope of the pos­si­bi­li­ties pro­vi­ded by the online cus­to­mer por­tal, the cus­to­mer decla­res at the same time not to inf­rin­ge the rights of third par­ties. Aco­pio will use such texts, pho­tos and other image and sound docu­ments exclu­si­ve­ly for the initia­ti­on or exe­cu­ti­on of the con­tract. They will only be pas­sed on for this pur­po­se, for exam­p­le to the craft­smen com­mis­sio­ned by Aco­pio for the pur­po­se of pro­vi­ding the service.
  6. If texts or images uploa­ded by the cus­to­mer and made available to Aco­pio inf­rin­ge the rights of third par­ties, the cus­to­mer shall indem­ni­fy Aco­pio against all resul­ting dama­ges, inclu­ding the cos­ts of appro­pria­te legal action.

§ 4 Obligations of the customer

  1. The cus­to­mer under­ta­kes not to misu­se the online cus­to­mer por­tal and only to use it to the ext­ent per­mit­ted by law. Abu­si­ve use shall be dee­med to exist in par­ti­cu­lar if the customer
    • a. uses the online cus­to­mer por­tal in a way that is likely to inter­rupt, dama­ge or other­wi­se impair the ser­vice pro­vi­ded via the online cus­to­mer por­tal or access to the online cus­to­mer portal;
    • b. uses the online cus­to­mer por­tal for ille­gal acti­vi­ties or in con­nec­tion with a cri­mi­nal offence
    • c. unlawful­ly inves­ti­ga­tes other exis­ting tenants/prospective ten­ants or employees of Aco­pio via the online cus­to­mer por­tal or attempts to do so or inter­fe­res with them in any other way.
  2. The cus­to­mer is respon­si­ble for the accu­ra­cy and com­ple­ten­ess of all data ente­red and stored in the online cus­to­mer portal.
  3. If the customer's mas­ter or cont­act data stored in the online cus­to­mer por­tal chan­ges, the cus­to­mer is obli­ged to enter the chan­ges in the cus­to­mer por­tal imme­dia­te­ly. The chan­ges can be made under "My data[RR1] " and saved.
  4. The cus­to­mer must keep his user name and pass­word secret and pro­tect them from access by unaut­ho­ri­sed third parties.
  5. The cus­to­mer can chan­ge their pass­word at any time and should make use of this opti­on at regu­lar inter­vals. When the pass­word is chan­ged, the pre­vious pass­word beco­mes invalid.
  6. If unaut­ho­ri­sed third par­ties gain know­ledge of the customer's user name and/or pass­word or if the cus­to­mer suspects that unaut­ho­ri­sed third par­ties have gai­ned know­ledge of the customer's user name and pass­word, the cus­to­mer is obli­ged to chan­ge his pass­word imme­dia­te­ly and to inform Aco­pio wit­hout delay.
  7. The online cus­to­mer por­tal can be acces­sed via the Inter­net address www.coviviotoshare.de acces­si­ble. If the cus­to­mer does not choo­se the afo­re­men­tio­ned direct access rou­te and does not enter the Inter­net addres­ses direct­ly into the address line of the brow­ser, the­re is a risk that the user name and pass­word may beco­me acces­si­ble to unaut­ho­ri­sed third par­ties. In this respect, the cus­to­mer acts at his own risk.

§ 5 Communication tool; damage reports

  1. In the user area of the online cus­to­mer por­tal, the cus­to­mer has the oppor­tu­ni­ty to cont­act the provider's employees (her­ein­af­ter refer­red to as the "com­mu­ni­ca­ti­on tool"). The use of the com­mu­ni­ca­ti­on tool is open to both pro­s­pec­ti­ve ten­ants and exis­ting ten­ants. Exis­ting ten­ants can also use this tool within the con­trac­tu­al rela­ti­onship as a means of com­mu­ni­ca­ting with Aco­pio employees.
  2. Aco­pio employees may send announce­ments and mes­sa­ges to cus­to­mers, pro­vi­ded that the cus­to­mer has given and not revo­ked their con­sent at the time of registration.
  3. Exis­ting ten­ants have the opti­on of report­ing a defect in the ren­ted pro­per­ty or dama­ge. This report is dee­med to be a dama­ge report within the mea­ning of Sec­tion 536c BGB from the time it is uploa­ded. The cus­to­mer is free to report the dama­ge by any other means of trans­mis­si­on. Dama­ge reports can be pro­vi­ded with free text and images. The dama­ge report using the com­mu­ni­ca­ti­on tool is stored on the Aco­pio server.
  4. The sta­tus of the dama­ge report is dis­play­ed to the cus­to­mer and can be che­cked by the exis­ting ten­ant in order to check any incor­rect or omit­ted for­war­ding to the respon­si­ble employee of Aco­pio or its affi­lia­ted companies.

§ 6 Availability, compatibility with end devices

  1. Once regis­tra­ti­on has been com­ple­ted, the online cus­to­mer por­tal is gene­ral­ly available to cus­to­mers 24 (twen­ty-four) hours a day by ente­ring their user name and password.
  2. Aco­pio does not war­rant that the online cus­to­mer por­tal is com­pa­ti­ble with the user's mobi­le device. Aco­pio fur­ther does not war­rant that the Online Cus­to­mer Por­tal will be available at all times or at cer­tain times wit­hout rest­ric­tion or that it will ful­fil cer­tain per­for­mance or func­tion­al requi­re­ments. Aco­pio does not gua­ran­tee that the app or the online cus­to­mer por­tal will remain usable in the event of any chan­ges to the firm­ware of the mobi­le end device.
  3. For tech­ni­cal reasons or due to main­ten­an­ce work, it is pos­si­ble that the online cus­to­mer por­tal may be tem­po­r­a­ri­ly unavailable or rest­ric­ted in terms of time and/or con­tent. This appli­es in par­ti­cu­lar if the­re are dis­rup­ti­ons that are out­side Acopio's sphe­re of influence.
  4. Upon beco­ming awa­re of faults, Aco­pio imme­dia­te­ly initia­tes mea­su­res to rec­ti­fy them prompt­ly within the scope of exis­ting tech­ni­cal and ope­ra­tio­nal possibilities.

§ 7 Term & blocking of the user account

  1. The online cus­to­mer por­tal is a non-bin­ding offer from Acopio.
    Aco­pio reser­ves the right to par­ti­al­ly or com­ple­te­ly dis­con­ti­nue the ope­ra­ti­on of the online cus­to­mer por­tal at any time and wit­hout giving reasons. The cus­to­mer is not entit­led to access or use.
  2. Ter­mi­na­ti­on of use of the online cus­to­mer por­tal does not requi­re can­cel­la­ti­on. For exis­ting ten­ants, the user aut­ho­ri­sa­ti­on ends auto­ma­ti­cal­ly 12 months after the end of the ten­an­cy. Irre­spec­ti­ve of this, the cus­to­mer has the opti­on to dele­te their Covi­vio­ToSha­re user account at any time with imme­dia­te effect.
  3. Aco­pio reser­ves the right to tem­po­r­a­ri­ly or per­ma­nent­ly block the customer's access to the online cus­to­mer por­tal for good cau­se. Good cau­se exists in par­ti­cu­lar if the cus­to­mer or unaut­ho­ri­sed third par­ties use the customer's access data to misu­se the online cus­to­mer por­tal, e.g. by vio­la­ting appli­ca­ble law, con­trac­tu­al agree­ments bet­ween the cus­to­mer and Aco­pio or the­se Terms of Use.

§ 8 Liability

  1. The infor­ma­ti­on available on the online cus­to­mer por­tal is for infor­ma­ti­on pur­po­ses only. Aco­pio accepts no lia­bi­li­ty for the accu­ra­cy of the information.
  2. Avai­la­bi­li­ty of the online cus­to­mer por­tal is not lia­ble for the functionality/interruption of data net­works, ser­vers or data lines to its data cent­re and the con­stant avai­la­bi­li­ty of the online cus­to­mer portal.
  3. Aco­pio is lia­ble for dama­ges resul­ting from inju­ry to life, body or health of per­sons as well as within the scope of lia­bi­li­ty under the Pro­duct Lia­bi­li­ty Act for any at least negli­gent beha­viour of its employees and all vica­rious agents.
  4. Aco­pio is only lia­ble for all other dama­ges if eit­her a mate­ri­al con­trac­tu­al obli­ga­ti­on (car­di­nal obli­ga­ti­on) has been brea­ched or if gross­ly negli­gent or inten­tio­nal beha­viour on the part of an employee or vica­rious agent is pre­sent. Essen­ti­al con­trac­tu­al obli­ga­ti­ons are tho­se who­se ful­film­ent is essen­ti­al for the pro­per exe­cu­ti­on of the con­tract and on who­se com­pli­ance the visi­tor may regu­lar­ly rely,
  5. Aco­pio has no influence on the hard­ware and soft­ware instal­led on the customer's device. Acopio's lia­bi­li­ty for data loss or hard­ware mal­func­tions cau­sed by incom­pa­ti­bi­li­ty of the com­pon­ents pre­sent on the customer's mobi­le device and for sys­tem mal­func­tions that may ari­se due to exis­ting mis­con­fi­gu­ra­ti­ons on the customer's hard­ware is the­r­e­fo­re excluded. Lia­bi­li­ty in accordance with the pro­vi­si­ons of the Pro­duct Lia­bi­li­ty Act remains unaffected.
  6. Aco­pio is not lia­ble for dama­ges cau­sed by errors, delays or inter­rup­ti­ons in trans­mis­si­on, mal­func­tions of the tech­ni­cal equip­ment and ser­vice, incor­rect or incom­ple­te data, viru­s­es or in any other way during use, unless the­se are due to intent or gross negli­gence on the part of Aco­pio, one of its employees or vica­rious agents.

§ 9 Data protection

The pro­vi­si­ons of the pri­va­cy poli­cy on the pro­ces­sing of data for the use of the online cus­to­mer por­tal (available free of char­ge at https://www.coviviotoshare.com/datenschutz) and the Aco­pio coo­kie data pro­tec­tion infor­ma­ti­on for the use of the web­site (available free of char­ge at https://www.coviviotoshare.com/datenschutz) in the ver­si­on valid at the time of use of the online cus­to­mer portal.

By regis­tering in the online cus­to­mer por­tal, the cus­to­mer con­firms that they have read and unders­tood Acopio's pri­va­cy poli­cy, inclu­ding the coo­kie data pro­tec­tion information.

§ 10 Modernisation / updating of the online customer portal

  1. The online cus­to­mer por­tal and its func­tions are updated on an ongo­ing basis.
  2. Aco­pio reser­ves the right to expand and chan­ge the ser­vices of the online cus­to­mer por­tal, to make impro­ve­ments and also to can­cel indi­vi­du­al usa­ge opti­ons. Aco­pio will gene­ral­ly do so if this is due to tech­ni­cal pro­gress, but is also aut­ho­ri­sed to do so wit­hout reason. The chan­ges may result in chan­ges to the appearance, navi­ga­ti­on or func­tions of the online cus­to­mer portal.
  3. If the user does not agree with a chan­ge to the func­tions or the pre­sen­ta­ti­on of the online cus­to­mer por­tal, they may no lon­ger use the por­tal. If the cus­to­mer con­ti­nues to use the por­tal, this shall be dee­med as con­sent to the changes.

§ 11 Adaptation/updating of the terms of use

  1. A prin­ta­ble and storable ver­si­on of the Terms of Use is available free of char­ge at "www.covivioToShare.de/agb" [RR2] retrievable.
  2. Aco­pio reser­ves the right to adapt or amend the Terms of Use in accordance with the fol­lo­wing provisions.
  3. Aco­pio will noti­fy the cus­to­mer of the chan­ges or addi­ti­ons in text form in good time and with a reasonable peri­od of noti­ce befo­re they come into effect at the next log­in to the web­site. The cus­to­mer will be given the oppor­tu­ni­ty to view, print and save the amen­ded Gene­ral Terms and Con­di­ti­ons free of charge.
  4. The objec­tion must be in text form and addres­sed to Aco­pio (see § 12). The objec­tion to the amend­ment or chan­ges to the­se Terms of Use must be sub­mit­ted within 6 (six) weeks of notification.
  5. If the cus­to­mer does not object within the peri­od spe­ci­fied in Sec­tion 12 (4), the amend­ments or addi­ti­ons to the­se Terms of Use shall be dee­med to have been accept­ed by the customer.
  6. When noti­fy­ing the cus­to­mer of chan­ges or addi­ti­ons to the­se Terms of Use, Aco­pio will spe­ci­fi­cal­ly draw the customer's atten­ti­on to his right of objec­tion, the signi­fi­can­ce of the objec­tion peri­od and the inten­ded signi­fi­can­ce of his behaviour.
  7. If the chan­ges are not reco­g­nis­ed by the cus­to­mer, Aco­pio reser­ves the right to block access to the online cus­to­mer por­tal from the date on which the amen­ded terms come into force.

§ 12 Provider

The online cus­to­mer por­tal is pro­vi­ded by Aco­pio Faci­li­ty GmbH & Co. KG, Kep­ler­stras­se 110 - 112, 45147 Essen, Germany.

§ 13 Final provisions

  1. Not­wi­th­stan­ding the­se Terms of Use for the use of the Covi­vio­ToSha­re web­site and online cus­to­mer por­tal, the con­trac­tu­al and busi­ness terms and con­di­ti­ons of other legal tran­sac­tions bet­ween Aco­pio and the cus­to­mer app­ly wit­hout rest­ric­tion. The sta­tu­to­ry pro­vi­si­ons shall app­ly to their inclusion.
  2. Legal rela­ti­ons bet­ween Aco­pio and the cus­to­mer in con­nec­tion with the online cus­to­mer por­tal shall be gover­ned by the laws of the Fede­ral Repu­blic of Ger­ma­ny, exclu­ding the UN Con­ven­ti­on on Con­tracts for the Inter­na­tio­nal Sale of Goods.
  3. If the user is a mer­chant, a legal enti­ty under public law or a spe­cial fund under public law, the place of juris­dic­tion is the regis­tered office of Aco­pio, Essen. If the user is a con­su­mer, the sta­tu­to­ry pro­vi­si­ons shall apply.
  4. Should one or more clau­ses of the­se Terms of Use be or beco­me inva­lid in who­le or in part, this shall not affect the vali­di­ty of the rema­in­der of the­se Terms of Use. Inso­far as pro­vi­si­ons are inva­lid, the con­tent of the con­tract shall be gover­ned by the sta­tu­to­ry pro­vi­si­ons. The con­tract is inva­lid as a who­le if adhe­rence to it would con­sti­tu­te an unre­asonable hard­ship for one of the con­trac­ting par­ties, even taking into account the abo­ve amendment.
