Terms of use for the utilisation of the CovivioToShare online customer portal
§1 Object of utilisation
- Acopio Facility GmbH & Co. KG, provider data see § 13 (hereinafter referred to as "Acopio") provides its customers with an online customer portal free of charge at the address www.coviviotoshare.de available. CovivioToShare is an Acopio product in which Acopio provides individual rooms within a self-contained flat, including the associated communal areas, for use in return for payment after a rental agreement has been concluded. Customers are natural and legal persons who have registered with the online customer portal as prospective tenants (hereinafter referred to as "prospective tenants") and existing tenants who have already concluded a tenancy agreement with Acopio for the CovivioToShare product (hereinafter referred to as "existing tenants").
- Prospective tenants can find out about CovivioToShare room offers via the online customer portal and contact Acopio if they are interested in renting a room.
- Existing tenants also have the option of handling selected tenancy agreement matters online via CovivioToShare as the manager of the respective rental property. In particular, this also includes the option of reporting damage, ordering repair services, making other enquiries about the tenancy and requesting forms, where offered.
- Acopio reserves the right to redefine the scope of use of the online customer portal at its reasonable discretion, in particular to restrict or extend it. Frequently requested forms and documents can also be made available for download as PDF documents.
§ 2 Inclusion of the terms of use; registration
- To use the online customer portal, the customer must register once ("CovivioToShare user account"). The CovivioToShare user account and the associated authorisations are only valid for the customer and are not transferable to third parties. Only one CovivioToShare user account is permitted per customer.
- By registering, the customer agrees to these terms of use and confirms that they have been able to take note of the privacy policy on the processing of data for the use of the online customer portal. The statutory provisions apply to the inclusion of the terms of use.
- When registering and using the online customer portal and when adding further data and content to the profile and when contacting Acopio, it is the customer's responsibility not to infringe any third-party rights (e.g. statutory property rights or personal rights). Acopio is under no obligation to the customer to review the content uploaded or modified by the customer.
- Acopio uses the so-called double opt-in procedure for registration, i.e. the customer's registration is only completed when the customer confirms his registration via a confirmation e-mail sent to him for this purpose by means of a link contained therein.
- The user account is secured by a password chosen by the customer. The following provisions and features must be observed when setting up the password:
The password must
- a. consist of at least 8 characters,
- b. contain upper and lower case letters and
- c. contain at least 1 number.
- d. Contains a special character.
§ 3 Rights, data backup
- Acopio makes the online customer portal available to the user exclusively for the customer's own, non-commercial purposes. Acopio grants the customer a simple, non-exclusive right of use that is not transferable to third parties and authorises the user to use the online customer portal to the extent that this corresponds to the purpose pursued by Acopio in providing and making available the online customer portal. If the customer is inactive for more than 12 months without being an existing tenant, Acopio reserves the right to delete the CovivioToShare user account.
- The online customer portal provided by Acopio may only be used in unmodified form. In particular, the customer is prohibited from modifying, reverse engineering, decompressing or converting the programme code of the online customer portal or parts thereof, or determining the source code in any other way, as well as creating derivative works of the online customer portal.
- The customer is not permitted to sell, rent or otherwise transfer the online customer portal to third parties. Information, brand names and other contents of the online customer portal may not be changed, copied, reproduced, sold, rented, used or otherwise utilised in any other way without the prior written consent of Acopio.
- Apart from the rights of use expressly granted in these Terms of Use, the Customer is not granted any further rights of any kind, in particular to Acopio's company name and industrial property rights, nor is Acopio under any obligation to grant such rights.
- Insofar as the customer uploads texts or photos within the scope of the possibilities provided by the online customer portal, the customer declares at the same time not to infringe the rights of third parties. Acopio will use such texts, photos and other image and sound documents exclusively for the initiation or execution of the contract. They will only be passed on for this purpose, for example to the craftsmen commissioned by Acopio for the purpose of providing the service.
- If texts or images uploaded by the customer and made available to Acopio infringe the rights of third parties, the customer shall indemnify Acopio against all resulting damages, including the costs of appropriate legal action.
§ 4 Obligations of the customer
- The customer undertakes not to misuse the online customer portal and only to use it to the extent permitted by law. Abusive use shall be deemed to exist in particular if the customer
- a. uses the online customer portal in a way that is likely to interrupt, damage or otherwise impair the service provided via the online customer portal or access to the online customer portal;
- b. uses the online customer portal for illegal activities or in connection with a criminal offence
- c. unlawfully investigates other existing tenants/prospective tenants or employees of Acopio via the online customer portal or attempts to do so or interferes with them in any other way.
- The customer is responsible for the accuracy and completeness of all data entered and stored in the online customer portal.
- If the customer's master or contact data stored in the online customer portal changes, the customer is obliged to enter the changes in the customer portal immediately. The changes can be made under "My data[RR1] " and saved.
- The customer must keep his user name and password secret and protect them from access by unauthorised third parties.
- The customer can change their password at any time and should make use of this option at regular intervals. When the password is changed, the previous password becomes invalid.
- If unauthorised third parties gain knowledge of the customer's user name and/or password or if the customer suspects that unauthorised third parties have gained knowledge of the customer's user name and password, the customer is obliged to change his password immediately and to inform Acopio without delay.
- The online customer portal can be accessed via the Internet address www.coviviotoshare.de accessible. If the customer does not choose the aforementioned direct access route and does not enter the Internet addresses directly into the address line of the browser, there is a risk that the user name and password may become accessible to unauthorised third parties. In this respect, the customer acts at his own risk.
§ 5 Communication tool; damage reports
- In the user area of the online customer portal, the customer has the opportunity to contact the provider's employees (hereinafter referred to as the "communication tool"). The use of the communication tool is open to both prospective tenants and existing tenants. Existing tenants can also use this tool within the contractual relationship as a means of communicating with Acopio employees.
- Acopio employees may send announcements and messages to customers, provided that the customer has given and not revoked their consent at the time of registration.
- Existing tenants have the option of reporting a defect in the rented property or damage. This report is deemed to be a damage report within the meaning of Section 536c BGB from the time it is uploaded. The customer is free to report the damage by any other means of transmission. Damage reports can be provided with free text and images. The damage report using the communication tool is stored on the Acopio server.
- The status of the damage report is displayed to the customer and can be checked by the existing tenant in order to check any incorrect or omitted forwarding to the responsible employee of Acopio or its affiliated companies.
§ 6 Availability, compatibility with end devices
- Once registration has been completed, the online customer portal is generally available to customers 24 (twenty-four) hours a day by entering their user name and password.
- Acopio does not warrant that the online customer portal is compatible with the user's mobile device. Acopio further does not warrant that the Online Customer Portal will be available at all times or at certain times without restriction or that it will fulfil certain performance or functional requirements. Acopio does not guarantee that the app or the online customer portal will remain usable in the event of any changes to the firmware of the mobile end device.
- For technical reasons or due to maintenance work, it is possible that the online customer portal may be temporarily unavailable or restricted in terms of time and/or content. This applies in particular if there are disruptions that are outside Acopio's sphere of influence.
- Upon becoming aware of faults, Acopio immediately initiates measures to rectify them promptly within the scope of existing technical and operational possibilities.
§ 7 Term & blocking of the user account
- The online customer portal is a non-binding offer from Acopio.
Acopio reserves the right to partially or completely discontinue the operation of the online customer portal at any time and without giving reasons. The customer is not entitled to access or use. - Termination of use of the online customer portal does not require cancellation. For existing tenants, the user authorisation ends automatically 12 months after the end of the tenancy. Irrespective of this, the customer has the option to delete their CovivioToShare user account at any time with immediate effect.
- Acopio reserves the right to temporarily or permanently block the customer's access to the online customer portal for good cause. Good cause exists in particular if the customer or unauthorised third parties use the customer's access data to misuse the online customer portal, e.g. by violating applicable law, contractual agreements between the customer and Acopio or these Terms of Use.
§ 8 Liability
- The information available on the online customer portal is for information purposes only. Acopio accepts no liability for the accuracy of the information.
- Availability of the online customer portal is not liable for the functionality/interruption of data networks, servers or data lines to its data centre and the constant availability of the online customer portal.
- Acopio is liable for damages resulting from injury to life, body or health of persons as well as within the scope of liability under the Product Liability Act for any at least negligent behaviour of its employees and all vicarious agents.
- Acopio is only liable for all other damages if either a material contractual obligation (cardinal obligation) has been breached or if grossly negligent or intentional behaviour on the part of an employee or vicarious agent is present. Essential contractual obligations are those whose fulfilment is essential for the proper execution of the contract and on whose compliance the visitor may regularly rely,
- Acopio has no influence on the hardware and software installed on the customer's device. Acopio's liability for data loss or hardware malfunctions caused by incompatibility of the components present on the customer's mobile device and for system malfunctions that may arise due to existing misconfigurations on the customer's hardware is therefore excluded. Liability in accordance with the provisions of the Product Liability Act remains unaffected.
- Acopio is not liable for damages caused by errors, delays or interruptions in transmission, malfunctions of the technical equipment and service, incorrect or incomplete data, viruses or in any other way during use, unless these are due to intent or gross negligence on the part of Acopio, one of its employees or vicarious agents.
§ 9 Data protection
The provisions of the privacy policy on the processing of data for the use of the online customer portal (available free of charge at https://www.coviviotoshare.com/datenschutz) and the Acopio cookie data protection information for the use of the website (available free of charge at https://www.coviviotoshare.com/datenschutz) in the version valid at the time of use of the online customer portal.
By registering in the online customer portal, the customer confirms that they have read and understood Acopio's privacy policy, including the cookie data protection information.
§ 10 Modernisation / updating of the online customer portal
- The online customer portal and its functions are updated on an ongoing basis.
- Acopio reserves the right to expand and change the services of the online customer portal, to make improvements and also to cancel individual usage options. Acopio will generally do so if this is due to technical progress, but is also authorised to do so without reason. The changes may result in changes to the appearance, navigation or functions of the online customer portal.
- If the user does not agree with a change to the functions or the presentation of the online customer portal, they may no longer use the portal. If the customer continues to use the portal, this shall be deemed as consent to the changes.
§ 11 Adaptation/updating of the terms of use
- A printable and storable version of the Terms of Use is available free of charge at "www.covivioToShare.de/agb" [RR2] retrievable.
- Acopio reserves the right to adapt or amend the Terms of Use in accordance with the following provisions.
- Acopio will notify the customer of the changes or additions in text form in good time and with a reasonable period of notice before they come into effect at the next login to the website. The customer will be given the opportunity to view, print and save the amended General Terms and Conditions free of charge.
- The objection must be in text form and addressed to Acopio (see § 12). The objection to the amendment or changes to these Terms of Use must be submitted within 6 (six) weeks of notification.
- If the customer does not object within the period specified in Section 12 (4), the amendments or additions to these Terms of Use shall be deemed to have been accepted by the customer.
- When notifying the customer of changes or additions to these Terms of Use, Acopio will specifically draw the customer's attention to his right of objection, the significance of the objection period and the intended significance of his behaviour.
- If the changes are not recognised by the customer, Acopio reserves the right to block access to the online customer portal from the date on which the amended terms come into force.
§ 12 Provider
The online customer portal is provided by Acopio Facility GmbH & Co. KG, Keplerstrasse 110 - 112, 45147 Essen, Germany.

§ 13 Final provisions
- Notwithstanding these Terms of Use for the use of the CovivioToShare website and online customer portal, the contractual and business terms and conditions of other legal transactions between Acopio and the customer apply without restriction. The statutory provisions shall apply to their inclusion.
- Legal relations between Acopio and the customer in connection with the online customer portal shall be governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods.
- If the user is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is the registered office of Acopio, Essen. If the user is a consumer, the statutory provisions shall apply.
- Should one or more clauses of these Terms of Use be or become invalid in whole or in part, this shall not affect the validity of the remainder of these Terms of Use. Insofar as provisions are invalid, the content of the contract shall be governed by the statutory provisions. The contract is invalid as a whole if adherence to it would constitute an unreasonable hardship for one of the contracting parties, even taking into account the above amendment.
